1. Acceptance of Terms (Binding Agreement)

By accessing, registering, signing up, or logging into the Platform by any method, including but not limited to email/password registration, Google Sign-In, or any other third-party authentication service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, the Privacy Policy, and all applicable policies incorporated by reference.

If you do not agree to these Terms, you must not access or use the Platform by any means.

2. Eligibility (Age Requirement)

You must be at least 16 years of age to use the Platform.

If you are between 16 and 18 years old, you represent that you have obtained the consent of a parent or legal guardian to use the Platform and to enter into these Terms.

By using the Platform, you represent and warrant that you meet these eligibility requirements.

3. Account Registration & Security

• You may not share your account or allow unauthorized access.

• All activity under your account is deemed to be performed by you.

IMAT Guide is not liable for any loss or damage arising from unauthorized access due to your failure to safeguard your credentials.

4. Platform Services

IMAT Guide is an independent educational platform that provides:

• Practice tests and mock exams

• Performance analytics and reports

• Educational explanations and study tools

All services are provided solely for educational and exam preparation purposes.

5. No Guarantee of Results

IMAT Guide does not guarantee:

• Any exam score or ranking

• Admission to any university or institution

• Exam success or performance improvement

All outcomes depend on individual effort, preparation level, and external factors beyond our control.

6. Subscriptions, Billing Cycle & Payments

Subscription Model

• The Platform operates on a recurring monthly subscription basis.

• Subscriptions automatically renew every 30 days unless canceled prior to the renewal date.

• Subscription fees are billed in advance for each billing cycle.

Payment Processing

• All payments are processed securely through Stripe, Inc.

• IMAT Guide does not store or process payment card details.

7. Refund & Cancellation Policy (Clear & Binding)

No Refund Policy

All subscription payments are non-refundable, including but not limited to:

• Partial use of the subscription period

• Failure to use the Platform

• Dissatisfaction with results or content

• Early cancellation of a subscription

Once a billing cycle has started, no refunds or credits will be issued for that period.

Cancellation

• You may cancel your subscription at any time through your account settings or by contacting support.

• Cancellation prevents future renewals only.

• You will retain access to the Platform until the end of the current paid billing cycle.

This refund policy applies to the maximum extent permitted by applicable law.

8. Stripe Payment Processing Disclaimer

IMAT Guide does not store payment card information. All transactions are handled directly by Stripe, Inc., a PCI-DSS Level 1 compliant payment processor.

By submitting payment information, you also agree to Stripe’s terms, policies, and privacy practices.

9. Intellectual Property

All content on the Platform—including questions, explanations, mock exams, text, graphics, logos, software, and analytics—is the exclusive property of IMAT Guide or its licensors and is protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, resell, scrape, publish, or create derivative works without prior written permission.

10. AI & Content Similarity Disclaimer

Certain educational materials on the Platform are derived from lawfully accessible and publicly available academic and examination-style sources commonly used for IMAT preparation.

For educational purposes, IMAT Guide reformats, adapts, and enhances such materials to improve clarity and learning effectiveness. These adaptations may include changes to wording, structure, formatting, or explanations.

Some content may be assisted or enhanced using artificial intelligence (AI) tools. AI assistance is used solely for educational optimization and does not involve access to confidential, unpublished, or proprietary examination materials.

Due to the standardized nature of academic examinations, similarities with other preparation resources may occur and do not imply copying, infringement, or unauthorized use.

11. Trademark & Exam Name Disclaimer

“IMAT” is the name of an official examination administered by relevant educational authorities.

IMAT Guide is an independent educational platform and is not affiliated with, endorsed by, sponsored by, or officially connected to any governmental authority, examination body, or university.

Any reference to “IMAT” is used solely for descriptive and informational purposes to identify the subject matter of the educational content.

12. User Conduct

You agree not to:

• Violate applicable laws or regulations

• Share account credentials

• Circumvent security measures

• Scrape or misuse Platform content

• Upload unlawful, harmful, or abusive material

Violations may result in immediate suspension or termination without refund.

13. Account Suspension & Termination

IMAT Guide may suspend or terminate access at its sole discretion for violations of these Terms or misuse of the Platform.

You may terminate your account at any time; termination does not entitle you to any refund.

14. Disclaimer of Warranties

The Platform is provided “AS IS” and “AS AVAILABLE.”

IMAT Guide disclaims all warranties, express or implied, including accuracy, reliability, fitness for a particular purpose, and uninterrupted availability.

15. Limitation of Liability

To the maximum extent permitted by law, IMAT Guide and Flowtools LLC shall not be liable for any indirect, incidental, consequential, or special damages.

Total liability shall not exceed the total amount paid by you to the Platform during the preceding twelve (12) months.

16. Indemnification

You agree to indemnify and hold harmless IMAT Guide and Flowtools LLC from any claims, damages, losses, liabilities, and expenses arising from your use of the Platform or violation of these Terms.

17. Arbitration & Class Action Waiver (USA)

Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration under the rules of the American Arbitration Association.

You waive any right to participate in a class action lawsuit or class arbitration.

Arbitration shall take place in Albuquerque, New Mexico, USA, unless otherwise required by law.

18. Governing Law & Venue

These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict-of-law principles.

Exclusive jurisdiction and venue shall be Albuquerque, New Mexico.

19. DMCA Copyright Notice

IMAT Guide respects intellectual property rights.
Copyright infringement claims may be submitted to info@imatguide.com and must include all information required under the DMCA.

20. Changes to Terms

IMAT Guide may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
